How to Set Up a Business in Oman — Step-by-Step Guide

Oman is rapidly emerging as one of the most attractive destinations for foreign investors and entrepreneurs in the Gulf region. With its investor-friendly policies, strategic location, and growing economy, the Sultanate offers excellent opportunities for businesses across all sectors. This guide walks you through every step of setting up a business in Oman.

Why Start a Business in Oman?

Oman's Vision 2040 is driving economic diversification away from oil dependence, creating new opportunities in tourism, logistics, manufacturing, technology, and services. The government actively encourages foreign direct investment through simplified regulations, tax incentives, and free zone options.

Key advantages include 100% foreign ownership in many activities, no personal income tax, competitive corporate tax rates, strategic access to Middle Eastern and African markets, and a stable political environment.

Step 1: Choose Your Business Structure

The first decision is selecting the right legal entity. The most common options in Oman are:

Each structure has different capital requirements, liability limits, and ownership rules. An LLC is the most popular choice for small to medium businesses, while SPCs suit solo entrepreneurs.

Step 2: Reserve Your Business Name

You must reserve a unique trade name with the Ministry of Commerce, Industry and Investment Promotion (MOCIIP). The name should not conflict with existing registered names and must comply with Omani naming conventions. This process typically takes 1–3 working days.

Step 3: Draft the Memorandum of Association

For an LLC or partnership, a Memorandum of Association (MOA) must be drafted and notarised. This document outlines the company's objectives, capital distribution, shareholder responsibilities, and operational framework.

Step 4: Obtain Commercial Registration (CR)

Register your company with MOCIIP to receive the Commercial Registration certificate. You will need to submit your MOA, shareholder details, proposed activities, and office lease agreement. The CR is renewable annually and serves as your company's official identity.

Step 5: Register with the Chamber of Commerce

All commercial entities must register with the Oman Chamber of Commerce and Industry (OCCI). Membership enables you to participate in tenders, access business networking events, and obtain attestation services required for various government transactions.

Step 6: Obtain Municipality License & Tax Registration

Secure a municipality licence from the relevant municipality for your business premises. Simultaneously, register with the Tax Authority for your tax card and VAT registration (mandatory for businesses meeting the threshold).

Step 7: Open a Corporate Bank Account

With your CR certificate and all documentation in order, approach a local bank to open your corporate account. Banks typically require your CR, MOA, shareholder passports, and a board resolution authorising signatories.

Step 8: Apply for Visas & Labour Cards

Once the company is operational, apply for investor visas, employment visas, and labour cards through the Royal Oman Police and Ministry of Labour. This enables you to sponsor employees and operate legally.

How Long Does the Process Take?

With proper documentation and professional guidance, the entire process — from name reservation to a fully operational company — can be completed in 2–4 weeks. Delays usually occur due to incomplete documentation or specific ministry approvals for regulated activities.
